General terms for business customers using edel in Switzerland, Germany and Austria.

1. Scope

These terms apply exclusively to contracts between Asemly GmbH and business customers in Switzerland, Germany and Austria concerning the use of edel as a cloud or on premises solution. Conflicting customer terms do not apply.

2. Service

Asemly provides edel as software as a service or as an on premises option. The scope of service is defined in the applicable offer or contract.

3. Contract and term

A contract is concluded when an offer is accepted or an online order is completed. Contracts renew automatically unless terminated within the agreed notice period.

4. Prices and payment

Prices are stated excluding VAT in CHF or EUR. Payment is due within 30 days. In case of late payment, access may be suspended and default interest may be charged.

5. Use

The customer may use edel only for its own business purposes. Distribution, resale, sublicensing and reverse engineering are prohibited. For on premises operation, the customer is responsible for infrastructure, security and backups.

6. Availability

  • Cloud service: 99.5 percent annual average availability under the SLA.

  • On premises: availability is the customer's responsibility.

7. Support

Support is provided under the selected plan. There is no entitlement to response or resolution times beyond that plan.

8. Changes

Asemly may adjust functions, prices and these terms. Changes are announced at least 30 days in advance. If a change materially disadvantages the customer, the customer may terminate for cause.

9. Rights

All rights in edel remain with Asemly. The customer receives a nonexclusive, nontransferable right of use for the contract term. Asemly may use customer feedback without charge.

These terms do not permit any use of Google user data beyond the limits described in the privacy policy. This also applies to feedback, external integrations and customer-owned API keys. Applicable Google requirements and Edel’s responsibility remain in effect.

10. Data protection

Personal data is processed under the privacy notice and applicable data processing agreement.

  • Cloud service: Edel’s primary hosting, document storage and default AI processing are in Switzerland. Customer-selected external services and some provider support or operational activities may involve processing outside Switzerland.

  • On premises operation: the customer is responsible for its environment.

11. Confidentiality

Confidential information may not be disclosed without permission unless required by law.

12. Warranty

The software is provided as is and according to the current state of technology. No guarantee is given for specific outcomes or uninterrupted operation.

13. Liability

Liability is unlimited only for intent, gross negligence and personal injury.

Otherwise, liability is limited to the fees paid during the previous 12 months. Liability for indirect loss, data loss or lost profit is excluded to the extent permitted by law.

14. Third party software

External integrations are governed by their own terms. Asemly is not responsible for their operation.

15. Export controls

The customer complies with all applicable export control and sanctions rules.

16. Termination

  • Ordinary termination takes effect at the end of the applicable term.

  • Termination for cause is available in case of a material contractual breach.

17. Force majeure

Asemly is not liable for events outside its reasonable control.

18. Governing law and venue

Swiss law applies, excluding conflict of laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The courts of Zurich have jurisdiction.
